Terms of Service

1. Acceptance of terms

These Terms of Service ("Terms") form a binding agreement between you and <<AYUBRIDGE LEGAL ENTITY>> ("AyuBridge", "we", "us") when you create or use an AyuBridge account or use the AyuBridge platform at ayubridge.in. By accessing or using AyuBridge you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use the platform.

For clinic customers running a pilot, a separate signed Pilot Services Agreement governs the commercial relationship. In case of conflict between that agreement and these Terms, the signed agreement prevails.

2. Eligibility

You must be at least 18 years old and legally competent to contract in India to create your own account. Where a parent or guardian registers a minor through a clinic, the parent or guardian is responsible for the minor's account and must accept these Terms on the minor's behalf.

3. Account and security responsibilities

  • Keep your login credentials confidential. Do not share them.
  • You are responsible for any activity that occurs under your account, including actions taken by anyone you allow to use it.
  • Tell us immediately at grievance@ayubridge.in if you suspect unauthorised access to your account.
  • Provide accurate, current information when creating and updating your profile.

4. Acceptable use

You agree not to:

  • Use the platform to break any applicable law or regulation in India.
  • Upload content that infringes another person's rights, is defamatory, or is unlawful.
  • Attempt to disrupt or compromise the platform's security or availability.
  • Reverse-engineer, scrape, or build a competing product from the platform.
  • Use the platform to send unsolicited marketing communications.
  • Misrepresent your identity or your authority to act for any clinic or patient.

5. Clinic-specific role and data ownership

When AyuBridge is provided to a clinic, the clinic owns the data its users create and manage on the platform (patient records, appointments, notes, prescriptions, invoices). AyuBridge processes this data on the clinic's instructions and under the clinic's supervision; the clinic acts as the Data Fiduciary and AyuBridge as the Data Processor with respect to the clinic's patient data.

6. Subscription and fees

During the launch pilot, AyuBridge is offered at no cost. We will not charge subscription or usage fees during the pilot. After the pilot, continued use is subject to a separate written agreement describing fees and terms.

Third-party fees (e.g. Razorpay transaction fees, WhatsApp Cloud API usage charges, Apple/Google store fees if a mobile app is distributed) remain payable by the party that contracts with the third party.

7. Disclaimers and limitation of liability

No medical advice. AyuBridge is a software tool that supports clinic operations. We do not practice medicine and are not a substitute for the professional judgment of a licensed practitioner. Clinical decisions are always the responsibility of the treating clinician.

Service provided "as is".Except as expressly stated in a signed agreement with you, the platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation. During the pilot, the platform may exhibit bugs, outages or data-loss events.

Limitation of liability. To the maximum extent permitted by law, our aggregate liability arising out of or relating to your use of the platform during the pilot is limited to INR 10,000 (Indian Rupees Ten Thousand). Neither party will be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or data use, even if advised of the possibility of such damages. Caps and exclusions do not apply to liability that cannot be limited under applicable law (such as gross negligence or wilful misconduct).

8. Termination

You may close your account at any time using the in-app Delete Account page or by writing to grievance@ayubridge.in.

We may suspend or terminate your access if you breach these Terms, if we are required to do so by law, or if continued operation of your account creates risk to other users or to the platform. Where possible, we will give you prior notice and an opportunity to cure.

On termination, your data will be handled per Section 8 of our Privacy Policy (typically: deleted within 30 days, with audit-log retention as required by law).

9. Governing law

These Terms are governed by the laws of India. The courts at Hyderabad, Telangana have exclusive jurisdiction, subject to any arbitration clause in a separate signed agreement between you and us.
